Version 2026-07-30 · in force since 2026-07-30
Terms of Service
These Terms of Service (the "Terms") govern access to and use of TRANLY — the document-translation platform, developer API, dashboard, and related services (collectively, the "Service") — operated by ISAQUE SILVA CHAVES LTDA, CNPJ 53.961.212/0001-00, with registered offices at Rua dos Guaicanas, 426, Vila Costa e Silva, Campinas — SP, CEP 13081-020, Brazil ("Company", "we", "us").
By creating an account, issuing an API key, or otherwise using the Service, you ("Customer", "you") agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.
The Service is intended for business and professional use. You must be at least 18 years old to use it.
1. The Service
1.1. The Service performs machine translation of documents and text using automated systems, including large language models and optical character recognition, and attempts to preserve the structure, formatting and layout of the source material. It is provided via a web dashboard and a REST API.
1.2. Machine output. Translations are generated automatically, without human review. You acknowledge that machine translation is probabilistic and may contain errors, omissions, mistranslations, formatting or layout differences from the source. Output is not a certified, sworn or official translation (including, without limitation, a Brazilian tradução juramentada) and does not satisfy requirements that call for one.
1.3. We may modify, add, or discontinue features of the Service at any time. We will use reasonable efforts to give advance notice of material reductions in core functionality on paid plans.
1.4. Beta features. Features identified as alpha, beta, preview, or experimental are provided as-is, may change or be withdrawn without notice, and are excluded from any commitments in these Terms.
2. Accounts and API keys
2.1. You must provide accurate registration information and keep it current.
2.2. You are responsible for all activity under your account and your API keys, including use by your employees, contractors, and end users. Treat API keys as secrets: do not embed them in client-side code or public repositories. Notify us promptly at support@tranly.co of any suspected compromise; rotate compromised keys immediately.
2.3. Usage attributed to your API keys is billed to you, whether or not authorized by you, until you revoke the key.
3. Customer Content
3.1. "Customer Content" means the documents, images, text, OCR data, and other material you submit to the Service, and the translated output generated from it.
3.2. You own it. As between the parties, you retain all rights in Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, and display Customer Content solely to provide, secure, and support the Service, including transmission to the sub-processors listed in our Privacy Policy (cloud infrastructure, OCR, and translation-model providers) and the operation of a translation memory scoped to your account (stored source/target segments used to keep your terminology consistent).
3.3. No training. We do not use Customer Content to train our own or third-party machine-learning models, and we engage translation-model providers under API terms that prohibit training on your content.
3.4. Your responsibilities. You represent and warrant that: (a) you have all rights, consents, and legal bases required to submit the Customer Content and have it processed as described in these Terms and the Privacy Policy — including, where it contains personal data of third parties, a lawful basis under applicable data protection law; (b) Customer Content and your use of the Service do not violate applicable law or third-party rights (including intellectual property, privacy, and confidentiality); and (c) you will not submit data you are prohibited from disclosing (e.g., regulated health or payment-card data) unless expressly agreed with us in writing.
3.5. Data protection roles. For personal data contained in Customer Content, you are the controller and we act as your processor/operator, as described in the Privacy Policy. A data processing addendum is available on request at support@tranly.co.
4. Acceptable use
You will not, and will not permit anyone to:
- use the Service to violate any law, or to process content that is unlawful, infringing, or that you lack the right to process;
- attempt to probe, breach, or circumvent security, authentication, rate limits, or quotas, or access accounts or data not belonging to you;
- reverse engineer, decompile, or attempt to extract source code, models, or non-public APIs of the Service, except where such restriction is prohibited by law;
- resell, redistribute, or commercialize access to the Service except as permitted in Section 5 (Permitted Integrations; Prohibited Resale), or share your API keys with third parties;
- interfere with the integrity or performance of the Service, including by sending malware or abnormal automated load outside documented limits;
- use the Service where an error in output could lead to death, personal injury, or severe damage (safety-critical use) without qualified human review.
We may investigate violations and may suspend or throttle access as described in Section 9.
5. Permitted integrations; prohibited resale
5.1. Permitted integrations. You may use the API to add translation functionality to your own products and services — for example, translating documents inside your document-management, CRM, or publishing application — provided your product offers material functionality beyond the translation capabilities of the Service and translation is not its primary value proposition. Use of the Service by your end users through your integration is your responsibility under Section 2.2.
5.2. Prohibited resale. Except with our prior written consent under a separate agreement, you may not:
(a) offer the Service, in whole or in substantial part, as your own product — including any document- or text-translation service, website, application, or API whose primary value is the translation functionality provided by the Service — whether or not rebranded or white-labeled;
(b) resell, sublicense, rent, lease, or otherwise commercialize access to the Service or to your API keys, or act as a broker or intermediary for third-party access;
(c) use the Service or its output to develop, train, benchmark for competitive purposes, or improve a product or service that competes with the Service.
5.3. When in doubt. If you are unsure whether your use case is permitted, contact us at support@tranly.co. We may authorize resale or white-label distribution under a separate written reseller agreement.
5.4. Enforcement. Breach of this Section is a material breach of these Terms; we may suspend access immediately under Section 9 and terminate under Section 10 (no cure period).
6. Fees and billing
6.1. Paid plans, prices, quotas, and rate limits are described at the point of purchase. Fees are exclusive of taxes; you are responsible for applicable taxes, except taxes on our income.
6.2. Subscriptions renew automatically for successive periods at the then-current price until cancelled. You may cancel at any time, effective at the end of the current billing period. Payment processing is handled by our payment provider (currently Stripe); we do not store full card numbers.
6.3. Free trial. Some plans include a free trial, stated at the point of purchase. We collect a payment method when the trial starts and charge it when the trial ends unless you cancel first; the charge date is shown in your dashboard throughout. Trials are limited to one per organization.
6.4. Right of withdrawal (Brazil). If you are a consumer under the Brazilian Consumer Protection Code (Law No. 8.078/90, art. 49), you may withdraw from a paid plan within 7 days and receive a full refund, whether or not you have used the Service. The period runs from your first payment — for a plan with a trial, from the first charge after the trial — counted in calendar days excluding the day of purchase; if it would end on a weekend it extends to the next business day. Exercise it from Billing → Cancel and refund in the dashboard: we refund to the original payment method and your organization moves to the Free plan immediately. Automatic renewals do not restart this period. Credits already used in the current month remain used; nothing is deducted from the refund itself.
6.5. EEA/UK consumers have a 14-day withdrawal right. By asking us to make the Service available immediately at checkout, you consent to performance beginning at once and acknowledge that you lose that right once it has been fully performed.
6.6. Outside Sections 6.4 and 6.5, fees are non-refundable and unused quota does not carry over.
6.7. We may change prices with at least 30 days' notice; changes apply from your next renewal.
6.8. We may suspend the Service for accounts with overdue amounts after notice.
7. Intellectual property
7.1. We and our licensors own the Service, including all software, models configurations, documentation, and interfaces. No rights are granted except as expressly stated in these Terms.
7.2. Feedback. If you send us suggestions or feedback, we may use it without restriction or obligation to you.
8. Privacy
Our Privacy Policy describes how we process personal data in connection with the Service, including regional disclosures for Brazil (LGPD) and the EEA/UK (GDPR). It is incorporated into these Terms by reference.
9. Suspension
We may suspend or limit your access immediately, with notice where practicable, if: (a) your use breaches Section 4 or Section 5, or poses a security risk to the Service or others; (b) amounts are overdue past the notice in Section 6.8; (c) suspension is required by law or by a provider we depend on. We will restore access once the cause is resolved.
10. Term and termination
10.1. These Terms apply from your first use of the Service and remain in effect until terminated.
10.2. You may terminate at any time by closing your account. We may terminate for convenience with 30 days' notice, or immediately for material breach that remains uncured 15 days after notice (no cure period for breaches of Sections 4 or 5, or non-payment). We may also discontinue the Service (or any plan) entirely upon at least 30 days' notice to you; in that case, we will refund, pro rata, any prepaid fees covering the period after discontinuation, and your ability to export Customer Content will remain available until the discontinuation date.
10.3. Effect. Upon termination your access ceases, outstanding fees become due, and we will delete Customer Content within 30 days, except copies we must retain to comply with law. Export your data before terminating. Sections 3.4, 7, 11, 12, 13, 14, and 15 survive termination.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. In particular, and without limiting the foregoing:
(a) we do not warrant that translations are accurate, complete, or fit for any specific purpose, or that layout and formatting will be preserved exactly; you are solely responsible for reviewing output before relying on or distributing it, especially for legal, medical, financial, regulatory, or contractual material;
(b) output does not constitute legal, medical, financial, or other professional advice;
(c) the Service depends on third-party providers (cloud infrastructure, OCR, translation models, payments) whose availability and behavior we do not control;
(d) no service levels or uptime commitments apply unless expressly agreed in a separate written agreement.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
12.1. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, arising out of or related to the Service or these Terms, even if advised of the possibility, and regardless of the theory of liability.
12.2. OUR AGGREGATE LIABILITY arising out of or related to the Service or these Terms WILL NOT EXCEED THE TOTAL FEES YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (or, if you paid no fees, USD 100).
12.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including, where applicable, liability for willful misconduct or mandatory consumer protections).
12.4. The limitations in this Section reflect the allocation of risk between the parties and are an essential basis of the bargain; the Service would not be provided at these prices without them.
13. Indemnification
You will defend, indemnify, and hold harmless the Company and its officers, employees, and agents from and against any third-party claims, and resulting damages, penalties, costs, and reasonable attorneys' fees, arising out of or related to: (a) Customer Content, including any claim that it or its processing as instructed by you infringes rights or violates law (including data protection law); (b) your use of the Service in breach of these Terms; or (c) your products or services that incorporate output from the Service. We will notify you promptly of any such claim and reasonably cooperate at your expense; you may not settle a claim imposing obligations on us without our consent.
14. Governing law and disputes
14.1. These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-laws rules.
14.2. The parties elect the courts of Campinas, SP, Brazil — the district of the Company's registered offices — as the exclusive forum for disputes arising from these Terms, waiving any other however privileged, except that either party may seek injunctive relief in any competent jurisdiction, and except where applicable consumer law grants you a different mandatory forum.
15. General
15.1. Changes to these Terms. We may update these Terms. For material changes we will tell you by e-mail or in the product, and we will ask you to accept the new version before you use the Service again. If you do not agree, stop using the Service.
15.2. Export and sanctions. You may not use the Service in violation of applicable export-control or sanctions laws, and you represent you are not a sanctioned party.
15.3. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control (including outages of third-party infrastructure, acts of government, or internet failures), except payment obligations.
15.4. Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
15.5. Severability; waiver. If a provision is held unenforceable, it will be enforced to the maximum extent permissible and the remainder stays in effect. Failure to enforce a provision is not a waiver.
15.6. Entire agreement. These Terms, the Privacy Policy, and any executed order or data processing addendum are the entire agreement regarding the Service and supersede prior discussions. If we provide translations of these Terms, the English version controls to the extent permitted by applicable law.
15.7. Notices. Notices to us: support@tranly.co. Notices to you: the e-mail on your account.
